Terms of Service

Last updated: October 12, 2026. Please read this document carefully before using Seedo.

1. Introduction

These Terms of Service ("Terms") form a legally binding agreement between [COMPANY NAME], the owner and operator of Seedo ("Seedo", "we"), and the party that registers for and uses our services ("Client", "you").

By creating an account, ticking the acceptance box, starting a trial, paying for a subscription, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you register on behalf of a company or legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Service.

2. Definitions

  • Service: Seedo's subscription software platform (Software as a Service), including the live chat widget, AI chatbot, omnichannel inbox, help desk, analytics, mobile apps, API, and related features.
  • Account: the account created by the Client to access the Service, including all agent seats.
  • End User: any website visitor, customer, or third party who interacts with the Client through the Service.
  • Client Data: all data, messages, files, and information (including End User personal data) entered, uploaded, or collected through the Service by or for the Client.
  • Third-Party Services: services not owned by Seedo that are connected to the Service, such as WhatsApp, Instagram, Facebook Messenger, Telegram, email providers, marketplaces, payment gateways, and AI model providers.
  • Plan: the subscription type chosen by the Client, including its feature limits, number of agents, and quotas.

3. Account and Security

  • You must be at least 18 years old and provide accurate, complete, and current registration information.
  • You are fully responsible for keeping your password confidential and for all activity under your Account, including activity by agents and users you invite.
  • You must notify us promptly of any unauthorized access. Seedo is not liable for losses caused by your failure to secure your Account.
  • Each login may be used by one person only. Sharing an agent seat among several people is not permitted.

4. Free Trial

We may offer a free trial for a limited period. During the trial the Service is provided "as is" without any warranty. If you do not subscribe before the trial ends, your Account may be restricted and Client Data may be deleted in accordance with Section 13.

5. Subscription, Fees, and Payment

  • The Service is billed in advance according to the Plan and billing period (monthly, annual, or other) you select.
  • Subscriptions renew automatically at the end of each period unless you cancel before the renewal date.
  • Prices exclude taxes (including VAT) unless stated otherwise. Taxes, duties, and transfer fees are borne by the Client.
  • Third-Party Service fees (for example Meta's WhatsApp Business API conversation charges) are billed separately at that party's rates.
  • We may change prices with at least 30 days' notice; new prices apply from the next billing period.
  • Late payment may result in suspension of the Service until the invoice is paid.
  • All payments are non-refundable, including for unused periods, downgrades, or early termination, unless required by applicable law.

6. Client Responsibility for Legal Compliance

The Client has full control over how the Service is used, who is contacted, and what data is collected. Accordingly, the Client is solely and exclusively responsible for complying with all laws and regulations applicable to its use of the Service, including but not limited to:

  • Indonesian Law No. 27 of 2022 on Personal Data Protection (PDP Law) and its implementing regulations, as well as data protection laws in any other country where End Users are located (such as the GDPR);
  • electronic information and transaction laws;
  • consumer protection, advertising, direct marketing, and anti-spam laws;
  • sector-specific regulations applicable to the Client's business, such as healthcare, finance, education, real estate, or commerce;
  • the terms and policies of any Third-Party Service the Client connects, including the WhatsApp Business and Commerce Policies and Meta platform policies.

In particular, the Client must:

  • have a valid legal basis (including consent where required) before collecting, storing, or processing End User personal data;
  • provide its own privacy policy and notices to End Users, including notice of chat, AI chatbot use, cookies, and conversation recording;
  • obtain opt-in consent before sending broadcast, promotional, or notification messages;
  • respond to End User data subject requests (access, correction, deletion, and others);
  • determine data retention periods and delete data that is no longer needed;
  • ensure that all messages, materials, and chatbot configurations it creates are lawful and accurate.

Seedo does not provide legal advice and has no obligation to monitor or ensure the Client's legal compliance. The availability of a feature does not mean that using it is lawful for the Client's purposes or jurisdiction.

7. Client Data and Roles of the Parties

  • The Client owns and is the Data Controller of all Client Data. Seedo acts only as a Data Processor, processing Client Data on behalf of and according to the Client's instructions, as given through the Client's configuration and use of the Service.
  • The Client grants Seedo a limited license to store, process, and display Client Data as necessary to provide, maintain, secure, and improve the Service.
  • The Client warrants that it holds all rights, permissions, and consents required for Client Data, and that Seedo's processing according to the Client's instructions does not violate any law or third-party right.
  • Seedo may use anonymized and aggregated data (which does not identify the Client or End Users) for statistics, research, and product development.
  • Detailed processing terms are set out in Section 8 and our Privacy Policy.

8. Data Processing Terms

As a Processor, Seedo will:

  • process Client Data only to provide the Service according to the Client's instructions;
  • implement reasonable technical and organizational security measures, such as encryption in transit, access controls, and backups;
  • ensure that authorized personnel are bound by confidentiality obligations;
  • notify the Client without undue delay after becoming aware of a personal data breach affecting Client Data, so that the Client as Controller can meet its notification obligations to authorities and End Users;
  • provide reasonable assistance, to the extent possible through the Service's features, to help the Client respond to data subject requests.

The Client authorizes the use of sub-processors (for example cloud/data center providers, email services, and AI model providers) needed to run the Service, including those located outside Indonesia. The Client is responsible for obtaining the consent or legal basis required from End Users for such transfers.

9. Prohibited Use

You may not use the Service to:

  • send spam, unsolicited bulk messages, or messages that violate Third-Party Service policies;
  • distribute content that is unlawful, fraudulent, hateful, pornographic, related to illegal gambling, or that infringes others' intellectual property;
  • collect sensitive data (such as health, biometric, or financial data) without a legal basis and adequate safeguards;
  • distribute malware, attempt to hack, overload, or disrupt the Service;
  • reverse engineer, copy, resell, or build a competing product from the Service without written permission;
  • engage in any other activity that may expose Seedo to legal liability.

We may remove content, suspend, or terminate any Account that violates this section without prior notice and without refund.

10. Third-Party Services and AI Features

  • Third-Party Services are provided by others and are subject to their own terms. Seedo is not responsible for their availability, changes, fees, number/account bans, or any action they take against the Client.
  • AI chatbot answers are generated automatically and may be inaccurate, incomplete, or inappropriate. The Client is responsible for configuring, testing, supervising, and reviewing AI output before relying on it, and for informing End Users that they are interacting with an automated system where required by law.
  • Seedo is not responsible for decisions, promises, or information the chatbot provides to End Users on the Client's behalf.

11. Intellectual Property

The Service, software, designs, trademarks, logos, and documentation are owned by Seedo or its licensors and protected by law. These Terms grant you only a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may freely use any feedback or suggestions you provide without obligation to you.

Unless you object in writing, we may list your company name and logo as a Seedo customer in marketing materials.

12. Service Availability

We strive to keep the Service available continuously, but we do not guarantee that it will be uninterrupted or error-free. The Service may be temporarily unavailable due to scheduled maintenance, updates, network issues, Third-Party Services, or events beyond our control. We may add, change, or discontinue features from time to time.

13. Cancellation, Suspension, and Termination

  • You may cancel your subscription at any time from the dashboard; cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your Account immediately if you breach these Terms, fail to pay, or your use creates legal or security risk.
  • After termination, access to the Service ends. You are responsible for exporting Client Data before termination. We may permanently delete Client Data 30 days after termination, unless longer retention is required by law.
  • Sections that by their nature should survive (including Sections 6, 7, 10, 14, 15, 16, and 18) survive termination.

14. Disclaimer of Warranties

To the extent permitted by applicable law, the Service is provided "as is" and "as available". Seedo makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of results, or that the Service will satisfy the Client's legal obligations.

15. Limitation of Liability

To the extent permitted by applicable law:

  • Seedo is not liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of their possibility;
  • Seedo is not liable for losses arising from Client Data, message content, chatbot configuration, End User actions, Third-Party Services, or the Client's failure to comply with the law;
  • Seedo's total liability for all claims relating to the Service is limited to the fees actually paid by the Client to Seedo in the 12 months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot be limited by law, such as liability for fraud or willful misconduct.

16. Indemnification

The Client agrees to defend, indemnify, and hold harmless Seedo and its directors, employees, and partners from any claims, demands, penalties, fines, losses, and costs (including reasonable legal fees) arising from or related to:

  • Client Data and the content of messages sent through the Client's Account;
  • the Client's breach of these Terms;
  • the Client's violation of any law or regulation, including personal data protection, consumer protection, and anti-spam laws;
  • claims by End Users or third parties relating to how the Client uses the Service;
  • the Client's breach of Third-Party Service terms.

17. Force Majeure

Seedo is not liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, pandemics, war, civil unrest, power or internet outages, cyberattacks, failures of cloud providers or Third-Party Services, and government actions.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any dispute shall first be resolved amicably within 30 days. If no agreement is reached, the dispute shall be settled by the South Jakarta District Court.

These Terms are made in Indonesian and English. In case of any inconsistency, the Indonesian version prevails.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in the dashboard at least 14 days before they take effect. By continuing to use the Service after the changes take effect, you accept the updated Terms.

20. Miscellaneous

  • These Terms, together with the Privacy Policy and the terms of your chosen Plan, form the entire agreement between you and Seedo.
  • If any provision is held invalid, the remaining provisions remain in effect.
  • Our failure to enforce a right is not a waiver of that right.
  • You may not assign your rights or obligations under these Terms without our written consent. We may assign them to our affiliates or business successors.
